2. Who we are
The site (benchford.com) and the client portal (benchford.app) are operated by Benchford LLC (organization pending with the Colorado Secretary of State), based in Lyons, Colorado. Contact: [email protected]. These terms apply to anyone who visits the site or uses the portal. If you have signed a services agreement, Blueprint agreement, statement of work or care plan agreement with Benchford, that agreement controls any project it covers. Benchford sells to businesses, and the site and portal are for people with authority to act for a business.
3. Using the site
The site gives general information about Benchford's services and published prices. A price shown on the site is not a contract. A price binds Benchford once it appears in a Blueprint agreement or statement of work that both parties have signed. We may change the site, prices or these terms at any time, and a change to a price does not change a signed agreement.
Sending an inquiry does not create a contract, a confidential relationship or an obligation on either side. The site may link to other sites, which we do not control.
6. Your content and ours
You keep ownership of the documents and data you upload. You give Benchford a limited licence to host and use them to provide the portal and the services you engaged us for, and for nothing else. You can download your content while your account is active, and for a period after it ends so you can export it. The portal is not a backup service, so keep your own copies of anything important.
Benchford owns the site, the portal and their content and design, including the name and mark Benchford. Platform software that powers the portal is owned by Plerity Inc and licensed to us.
7. Electronic signatures
You and Benchford may sign and deliver proposals, agreements, change orders and notices electronically. Electronic records and signatures have the same effect as paper, as the federal E-SIGN Act and the Colorado Uniform Electronic Transactions Act allow. To accept a document in the portal, you type your name and select the button that says you accept. You promise that you have authority to sign for your business. We keep a record of the typed name, the date and time, device details and the document version, and we email you a copy.
You may ask for a paper copy or a PDF of anything you signed, or ask to sign a particular document on paper. You may withdraw your consent to electronic dealings for future documents by writing to us. That does not affect documents already signed.
8. Demonstration and sample content
The site and portal may show demonstration screens and sample data. They show how a kind of system could work and are provided as is. They are not a promise that a feature will exist in your build. The acceptance checklist in your signed statement of work, and nothing else, defines what is built for you. Sample data is not real. A demonstration is not a case study, a testimonial or a statement of results.
10. Disclaimers and limits
Unless a signed agreement says otherwise, the site and the portal are provided as is and as available. Nothing on the site is legal, tax, accessibility, security or regulatory advice. Nothing on the site is a certification or guarantee of compliance with any law or standard.
To the fullest extent the law allows, Benchford is not liable for indirect, incidental, special or consequential damages. That includes lost profits, revenue or data that arise from your use of the site or portal. Nothing here limits liability that the law does not allow to be limited, and nothing here limits any signed agreement.
